Please read these Terms and Conditions carefully before using the ThoughtWire platform or any related services. By accessing or using ThoughtWire, you agree to be bound by these terms.
These Terms and Conditions("Terms") govern your access to and use of ThoughtWire, including theThoughtWire website, the Marketing IQ and Creative IQ pilot modules, allAI-powered recommendation and decision intelligence features, third-party integrations, dashboards, decision boards, notifications, and any related services(collectively, the "Services"), owned and operated by ThoughtWire.ai, Inc., and its affiliates ("Company," "we," "our," or "us"). References to "you" and "your" mean the individual user or, where applicable, the legal entity on whose behalf the Services are accessed.
BY ACCESSING OR USING THESE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THESE SERVICES.
1. Acceptance of Terms
By accessing or using ThoughtWire, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. These Terms apply to all users, including pilot program participants, authorized enterprise users, and any employees or contractors you permit to access the Services ("Authorized Users").
If you access the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are under 18, do not use the Services.
You are responsible for ensuring that all Authorized Users who access the Services through your account comply with these Terms.
3. Description of Services:
ThoughtWire is an AI-powered decision intelligence platform. It connects to your existing business data sources, aggregates outputs from multiple AI models and agents, and delivers prioritized, evidence-backed recommendations your team can review, approve, reject, or act on.
The platform processes data through four stages:
• Thoughtlet : AImodels analyzes your connected data sources to produce granular observations("Thoughtlets"), such as a metric that spiked above normal thresholds or customer sentiment trending negative.
• Synthesis and Contextualization: Related Thoughtlets are aggregated, linked to your business entities and KPIs, and organized into a single prioritized recommendation (a"Thought").
• Justification and Compliance: Each Thought is validated against your business rules using neuro-symbolic AI, and carries an auditable evidence chain.
• Decision and Action: You receive a ranked recommendation with quantified financial impact. You approve, reject, or run scenario analysis. Your decision history is logged so the system learns from your team's choices over time.
4. Pilot Program
ThoughtWire is currently in a pilot phase. Access to the Services is limited to a select group of approved pilot partners. As a pilot partner, you receive:
• Direct input into the product roadmap before general release.
• Hands-off onboarding through guided API connections (no manual setup).
• A working dashboard within days of connecting your data sources.
• A decision history that of your team's approved, rejected, and the resulting outcomes.
Pilot access is granted at our sole discretion. We reserve the right to modify, limit, or discontinue pilot access at any time without prior notice. Participation in the pilot does not guarantee access to the general release version of the Services.
5. Account Registrationand Security
To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to:
• Keep your credentials confidential and do not share them with unauthorized parties.
• Notify us immediately of any unauthorized access to your account at support@shilo.ai.
• Ensure that AuthorizedUsers comply with these Terms.
We may disable your account at any time if we believe you have violated these Terms.
6. Data, Integrations, and API Connections
ThoughtWire connects to third-party platforms through API credentials you provide, including but not limited to Meta, Google, Shopify, Magento, BigCommerce, and Klaviyo. By providing these credentials, you authorize ThoughtWire to access and process the relevant data from those platforms solely to deliver the Services.
You represent and warrant that:
• You have the legal right to provide access to any data you connect to ThoughtWire.
• Your data and its use within the Services do not violate any applicable law, third-party rights, or the terms of any connected platform.
• You have obtained all necessary consents to process any personal data submitted through the Services.
If an API connection is in completeor revoked, ThoughtWire will notify you that certain Thoughts may be less accurate until the connection is restored. We are not responsible for the accuracy, availability, or completeness of data provided by third-party platforms.
7. AI Features and Decision Intelligence
7.1 How AI is Used
ThoughtWire uses composite AI, including time-series models, anomaly detection, NLP models, and neuro-symbolic AI, to analyze your data and generate Thoughtlets, synthesize them into Thoughts, validate recommendations against your business rules, and learn from your team's decisions over time.
The platform's Causal Graph encodes the relationships between your metrics, KPIs, policies, and decision owners. This graph improves as your team uses the platform. All changes to this model occur through a governed learning pipeline, not through direct Amutation.
7.2 Human Authority
ThoughtWire is not an autonomous decision-making system. The platform proposes. Your team decides. No action executes without human approval. You are solely responsible for evaluating AI-generated recommendations before acting on them.
7.3 AI Output Limitations
AI-generated recommendations("AI Output") are provided for informational purposes to support your decision-making. AI Output:
• May be inaccurate, incomplete, or require human review before reliance.
• Does not constitute legal, financial, regulatory, or professional advice.
• May reflect the quality and completeness of the data you have connected.
• Should not be acted on without appropriate human evaluation.
You are responsible for reviewing all AI Output before acting on it, including ensuring compliance with applicable laws and regulations. We do not warrant that AI Output will be accurate, complete, or suitable for any particular purpose.
7.4 AI Input and Output Ownership
As between you and the Company, you retain ownership of the data and information you submit to ThoughtWire("Customer Input") and the AI-generated outputs produced in response("Customer Output"), subject to the license you grant us below.
You grant us a non-exclusive,royalty-free license to process Customer Input and Customer Output to provide the Services, and to use aggregated, de-identified data derived from the Services to improve the platform.
You may not use AI Output to train, develop, or improve any competing AI system or product.
8. Intellectual Property
The Services, including theThoughtWire platform, its architecture, the six-layer Cognitive Graph system, all AI models, workflows, algorithms, software, dashboards, and content("Platform Content") are owned by ThoughtWire.ai, Inc and protected by applicable intellectual property laws.
ThoughtWire, ThoughtWire.ai, and related names and logos are trademarks of ThoughtWire.ai, Inc. You may not use them without our prior written consent.
9. Acceptable Use
You agree not to use the Services to:
• Submit data you do not have the right to share or process.
• Attempt to access, scrape, or extract platform data, algorithms, or model weights through automated means.
• Interfere with or disrupt the platform's infrastructure, networks, or other users' access.
• Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• Develop or improve any competing AI technology using the Services or any AI Output.
• Impersonate any person or entity or misrepresent your identity or affiliation.
• Upload or transmit malicious code, viruses, or harmful data.
10. Subscriptions and Fees
Access to ThoughtWire may require payment of applicable fees as set out in a separate subscription or enterprise agreement (a "Definitive Agreement"). Where a Definitive Agreement exists, its terms govern your subscription. In the event of a conflict between a Definitive Agreement and these Terms, the Definitive Agreement prevails.
Fees are non-refundable unless otherwise stated in your Definitive Agreement. Subscriptions renew automatically for successive terms of equal duration unless cancelled before the end of the then-current term.
We reserve the right to suspendaccess to the Services for non-payment of fees.
11. Privacy and Data Use
We collect and process data in accordance with our Privacy Policy, available at the ThoughtWire website, which is incorporated into the Terms by reference. The Privacy Policy describes how we collect, use, store, and share information, including personal data and business data processed through the platform.
We may aggregate and de-identify data generated through your use of the Services and use it on a non-attributed basis to improve the platform, provided such use does not identify you or yourorganization.
By using the Services, you consent to our data practices as described in the Privacy Policy.
12. Modifications to the Services
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes changes to features available in the Marketing IQ and Creative IQ modules, integrations supported, and the platform's AI capabilities.
We may update these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of the Services after any update constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Services at any time, for any reason, including if you breach these Terms. Upon termination, your right to use the Services ceases immediately. We may delete your account data in accordance with our data retention practices and applicable law.
You may terminate your account at any time through your account settings or by contacting us at support@shilo.ai, subject to any obligations under a Definitive Agreement.
14. Disclaimer of Warranties
THE SERVICES, INCLUDING ALL AIFEATURES, AI OUTPUT, THOUGHTLETS, THOUGHTS, DECISION RECOMMENDATIONS, DASHBOARDS, AND INTEGRATIONS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THESE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM INACCURACIES. YOU ASSUME FULL RESPONSIBILITY FOR EVALUATING AI OUTPUT BEFORE ACTING ON IT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOUGHTWIRE.AI, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE SE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THEGREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THECLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
16. Indemnification
You agree to defend, indemnify, and hold harmless ThoughtWire.ai, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
• Your use of the Services or any AI Output.
• Data or information you submit to the platform, including any claim that such data infringes third-party rights.
• Your breach of these Terms.
• Your violation of anyapplicable law or regulation.
• Any unauthorized use of the Services by your Authorized Users.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts in Maricopa County, Arizona.
Any claim must be brought within one (1) year of the date the cause of action arose, or it is permanently barred.
18. General Provisions
These Terms, together with our Privacy Policy and any applicable Definitive Agreement, constitute the entire agreement between you and ThoughtWire.ai, Inc. regarding your use of the Services.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
